Terms and Conditions for WallFrame

Please read these Terms and Conditions (“Terms”) carefully before using WallFrame.
1) Interpretation and Definitions
Interpretation. Capitalized words have the meanings set out below. The same meanings apply whether in singular or plural.
Definitions.
Application means the mobile software named WallFrame provided by the Company.
Application Store means the Apple App Store (operated by Apple Inc.) or any other store where the Application is distributed.
Affiliate means any entity that controls, is controlled by, or is under common control with a party (control meaning ≥50% ownership or voting power).
Account means a unique account created for You to access certain parts of the Service.
Company (also “we”, “us”, “our”) means Sciclear Corporation, Address: 30 N Gould Street, STE N, Sheridan, WY 82801.
Content means text, images, photos, graphics, files, and other materials that You upload, post, import, export, or otherwise make available via the Service.
Device means any device that can access the Service (e.g., iPhone, iPad).
Feedback means suggestions or ideas You provide about the Service.
Free Trial means a time-limited free access period for a paid Subscription.
In-App Purchase means a purchase made inside the Application, including subscriptions, export packs, or content unlocks.
Promotions means contests, sweepstakes, credits, coupons, or other offers.
Service means the Application and any related websites, documentation, and services we provide.
Subscription means recurring paid access to certain Service features.
Third-Party Social Media Service means third-party services or content integrated with or displayed by the Service.
You means the individual using the Service, or the organization on whose behalf that individual uses the Service.
2) Acknowledgment
These Terms form a binding agreement between You and the Company and govern Your use of the Service. By accessing or using the Service, You agree to be bound by these Terms. If You do not agree, do not use the Service.
You represent that You are at least 18 years old. We do not permit those under 18 to use the Service.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and disclose personal information. Please review it carefully before using WallFrame.
3) Subscriptions
Subscription Period. Some features are available only with a paid Subscription billed in advance on a recurring basis (e.g., monthly or annually) according to the plan You select. Unless canceled, Your Subscription auto-renews under the then-current terms.
Cancellation. You may cancel renewal at any time via your Apple ID subscription settings. You will retain access until the end of the current paid period. Fees already paid are non-refundable except where required by law or by the Application Store’s policies.
Billing. If You subscribed through the Apple App Store, Apple handles billing and refunds, which are governed by Apple’s terms. For any billing issues, please contact Apple Support.
Fee Changes. We may change Subscription fees effective at the next renewal. We will provide reasonable prior notice so You can cancel before changes apply. Continued use after the effective date constitutes Your agreement to the new fees.
Refunds. Except where required by law or by the Application Store, fees are non-refundable. For App Store purchases, request refunds through Apple.
4) Free Trials & Promotions
We may offer Free Trials or Promotions. We may modify or terminate these at any time. If a Free Trial converts to a paid plan, Your Apple ID will be charged at the end of the trial unless You cancel beforehand.
Promotions may have additional rules that apply over these Terms in case of conflict.
5) In-App Purchases (IAP)
The App may offer IAP such as export packs, premium rooms, frames, mats, measurement tools, or Subscriptions. IAP are consumed within the App, are non-transferable, and not redeemable for cash. If an IAP fails to download or function after download, we will act reasonably to repair or replace; if we cannot do so within a reasonable time without significant inconvenience, Apple may refund the amount per Apple’s policies.
All billing and refunds for IAP are handled by the Application Store.
6) User Accounts
If you create an Account, You must provide accurate, current information and keep Your credentials secure. You are responsible for all activities under Your Account. Notify us immediately of any unauthorized use. Usernames may not infringe others’ rights or be offensive.
7) Content & Intellectual Property
7.1 Your Rights & License to Us
You retain ownership of Content You upload or import (e.g., Your artwork and room photos). By submitting Content, You grant the Company a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, adapt, display, and transmit such Content solely to operate, improve, and provide the Service (including generating previews, mockups, exports, and thumbnails; enabling device sync and backups; and providing customer support). You may revoke this license by deleting the Content from the Service, except to the extent we have made reasonable, automated backup copies (which will expire per our retention schedules).
You represent and warrant that You either own the Content or have all necessary rights, licenses, and permissions to grant the above license, and that Your Content and use of the Service do not infringe any third-party rights (including copyright, trademark, privacy, publicity, or moral rights).
7.2 Content Restrictions
You agree not to upload or share Content that is unlawful, infringing, defamatory, obscene, hateful, discriminatory, harassing, deceptive, or that contains malware or unsolicited advertising. We may (but have no obligation to) remove or disable access to Content that violates these Terms or applicable law.
7.3 Content Storage & Backups
We take reasonable steps to protect and back up data, but we do not guarantee that Content will never be lost or corrupted. You are responsible for maintaining independent backups of Your Content.
7.4 WallFrame IP
Except for Your Content, the Service—including software, designs, templates, frames, mats, room assets, text, graphics, logos, and other materials—is owned by the Company or its licensors and protected by copyright and other laws. Our trademarks and trade dress may not be used without our prior written consent.
8) WallFrame-Specific Use Terms
8.1 True-to-Scale & Measurement Disclaimer.
WallFrame’s “true to size”, scaling, and measurement outputs are approximations based on input data (e.g., reference object size, wall/room images, Device sensors). Lighting, lens distortion, camera angle, and user inputs can affect accuracy. Do not rely on WallFrame for precise measurements for fabrication, framing, drilling, or installation. Always verify measurements independently with professional tools.
8.2 Color/Print Variance.
On-screen colors, brightness, and contrast vary by Device and lighting; exported images or prints may differ from real-world artworks, frames, or walls. The Service does not guarantee color-matching.
8.3 Exports, Watermarks, and Limits.
Free tiers may include limited exports, watermarks, or reduced resolution. Upgrading via IAP or Subscription may remove or relax such limits as specified in-app. Exported files remain subject to these Terms and Your rights in the underlying Content.
8.4 Premium Assets.
Premium rooms, frames, mats, and other in-app assets are licensed for use within WallFrame and in Your exports. You may not extract, resell, redistribute, or repurpose these assets as standalone files or templates.
8.5 Prohibited Uses.
You may not: (i) decompile, reverse engineer, or attempt to access the source code; (ii) circumvent feature limits, digital rights, or export restrictions; (iii) use the Service to build a competing product; or (iv) use automated means to scrape or bulk download assets.
8.6 Professional Advice.
WallFrame is for visualization only and does not constitute professional design, appraisal, installation, or conservation advice.
9) Copyright Policy; DMCA
We respect intellectual property rights and respond to notices of alleged infringement.
DMCA Notices (US): Send to support@wallframe.app with: (a) your signature; (b) identification of the copyrighted work; (c) identification of the infringing material and its location; (d) your contact info; (e) a good-faith statement of unauthorized use; and (f) a statement under penalty of perjury that the notice is accurate and you are authorized to act. Misrepresentations may subject you to liability.
Upon receipt, we may remove or disable access to the reported material and may terminate repeat infringers.

10) Your Feedback to Us
You agree that we may use Feedback freely. To the extent it cannot be assigned, You grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use and exploit Feedback for any purpose.
11) Third-Party Links & Services
The Service may link to or integrate third-party sites/services (e.g., Apple Photos/iCloud). We are not responsible for their content or practices. Review their terms and privacy policies before use.
12) Termination
We may suspend or terminate access immediately for any breach of these Terms or unlawful use. Upon termination, Your right to use the Service ceases. You may stop using the Service at any time.
13) Limitation of Liability
To the maximum extent permitted by law, the Company and its suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, data, goodwill, or business interruption), even if advised of the possibility. Our total liability for all claims relating to the Service shall not exceed the greater of USD $100 or the amount You paid to the Company for the Service in the 12 months preceding the claim. Some jurisdictions do not allow certain exclusions or limitations; in such cases, liability will be limited to the maximum extent permitted by law.
14) “AS IS” and “AS AVAILABLE”
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant accuracy, reliability, or availability.
15) Governing Law; Disputes
These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflicts-of-law principles. You and the Company submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for any dispute arising out of these Terms or the Service, except where consumer protection laws provide otherwise.
EU Consumers. If You are an EU consumer, You will benefit from any mandatory provisions of the law of the country in which You reside.
U.S. Government End Users. The Service is a “Commercial Item” as defined in 48 C.F.R. §2.101.
U.S. Legal Compliance. You represent that You are not located in a country subject to U.S. embargo or on any U.S. government list of prohibited or restricted parties.
16) Severability; Waiver
If any provision is held invalid or unenforceable, it will be interpreted to achieve its objectives to the greatest extent possible, and the remaining provisions will continue in full force. A failure to enforce any right is not a waiver of future enforcement.
17) Translation
If we provide a translation of these Terms, the English version controls in case of conflict.
18) Changes to These Terms
We may modify these Terms at any time. If a change is material, we will use reasonable efforts to provide at least 30 days’ notice before the new terms take effect (e.g., via in-app notice). Your continued use after changes take effect constitutes acceptance. If You do not agree, You must stop using the Service.
